Nicole Bodoh Jacobson joins Primmer

Primmer is pleased to announce that Nicole Bodoh Jacobson, who has her LL.M. in taxation from the Temple University Beasley School of Law, has joined our law firm as Of Counsel. Nicole concentrates her practice in corporate and tax law.

Nicole assists businesses with general corporate matters such as entity formation and structuring, contract review, shareholder distributions and relations, as well as general governance issues. She has negotiated and drafted corporate contracts, including: licenses, leases and agreements for real estate sales, supply, distributor, settlement, shareholder, redemption, employment, confidentiality, and stock and asset purchase agreements. She has also drafted stock option and restricted stock plans, as well as other incentive compensation plans. Nicole has drafted, negotiated and finalized commercial loan documentation and advised banks with respect to regulatory compliance.

Nicole works with public companies to prepare and file their 1933 and 1934 Act reports and advises them with respect to compliance with federal securities regulations and blue sky laws. She has also prepared private placement offering memoranda for debt and equity financings.

As a registered IRS Return Preparer, Nicole counsels her clients with respect to tax matters, including issues related to deferred compensation and federal tax consequences of mergers, acquisitions, distributions, sales and other transactions. She prepares New Hampshire business profits and business enterprise tax filings, as well as New Hampshire interest and dividends returns.
