Vermont Business Magazine Montreal-based Énergir Inc and Énergir, LP announced Monday a private placement by Énergir, L.P. of $325 million of Series 2022-1 First Mortgage Bonds. The Series 2022-1 Bonds will be secured by collateral security backed by the assets of Énergir, L.P. The Series 2022-1 Bonds, bearing interest at the rate of 3.04% per annum, are expected to be dated February 9, 2022, and to mature on February 9, 2032 and would be issued at a price of $999.74 per $1,000 principal amount. The Series 2022-1 Bonds have been assigned a provisional rating of A by Standard & Poor's and a provisional rating of A by DBRS Limited. Closing of the offering of the Series 2022-1 Bonds is expected to occur on February 9, 2022, subject to customary closing conditions.
Énergir, LP subsidiaries include Green Mountain Power and Vermont Gas Systems (VGS) in Vermont.
Énergir, L.P. intends to use the proceeds to repay existing indebtedness and for general corporate purposes.
The Series 2022-1 Bonds are offered on an agency basis through a syndicate of dealers led by CIBC Capital Markets and TD Securities Inc. as joint bookrunners and co-lead private placement agents, together with BMO Nesbitt Burns Inc., Desjardins Securities Inc., National Bank Financial Inc., RBC Dominion Securities Inc., Scotia Capital Inc. and Casgrain & Company Limited, as agents.
